Analyzing Risk Factors, ICFR, and Governance Disclosures for Enhanced Investor Confidence

This course addresses risk factors, controls, and corporate governance disclosures in SEC Form 10-K. It begins with an analysis of the "Risk Factors" section, focusing on how companies identify and communicate risks relevant to their operations. The course also examines internal control over financial reporting (ICFR), executive compensation disclosures, as well as the importance of corporate governance disclosures, with a specific emphasis on audit committees, board composition, and the role of strong governance in boosting investor confidence.Â

He currently serves as a Principal in Accounting Policy with HP in Doha, Qatar, and previously served in positions in Houston, Dallas, and Budapest, Hungary.  Prior to HP, he served in multiple accounting roles in the oil & gas industry with ConocoPhillips including technical accounting policy, SOX compliance, and internal audit. He also gained public accounting experience with PricewaterhouseCoopers, working with various clients in the energy, electric, power, gas, and utility sectors.
